Corporate Governance

Mercy Health and Aged Care Central Queensland Limited is registered under the Corporations Law of Australia as a company limited by guarantee and it operates as a not-for-profit organisation.

The Congregation Leader and the other Sisters of Mercy elected to the Congregation Leadership Team are automatically Members of the company. They can appoint other Sisters as Members to share their responsibilities expressed mainly through certain powers that are reserved to the Company Members and these reserved powers are described in the Constitution (27). Members of the company are responsible for ensuring fidelity to Church mission and for appropriate use of the Church property committed to these ministries.

Directors of the Company are appointed by the Company Members and they undertake governance management responsibilities through the direction they provide to company executives.

The company is a separate legal entity in civil law with certain rights, powers and obligations, with the powers of the company, excluding those powers reserved to the Company Members, being exercised by the Board of Directors.

The Board of Directors appoints a Chief Executive Officer who is supported by a highly effective management team that is responsible for the day-to-day operations of the various facilities within the organisation. Throughout all levels of Mercy Health and Aged Care Central Queensland Limited, leadership and stewardship are in accordance with delegated authority and reflect the mission and values of the organisation.
